What is a Reward?

As part of our investment offer, we are offering rewards to people who decide to purchase shares. These rewards vary depending on the level of investment. Think of it as a gift from Bhumi to you, thanking you for your investment. To see the rewards on offer please head to our investment page.

You are not required to accept our rewards - so simply select the 'No Reward' option when investing to disregard the offer.

How to upgrade your investment?

There are two simple ways you can upgrade your investment.

Re-investing

During the cooling off period (5 business days), investors have the option to cancel their investment and re-invest at a higher amount.

Note: We collect the payment for investments immediately after the cooling off period has expired so you don't need to be concerned about this aspect to your investment.

Creating Multiple Investments

You're able to invest multiple times in the same investment offer. This is the only option if your cooling off period has expired.

The payment for each investment will be processed individually - but will be batched together during the settlement process and one share certificate issued for the combined total investment amount.

What is the cooling off period?

Retail investors will receive a 5 business day cooling off period (starting the day following your investment application) to cancel their investment application. After the 5 day cooling off period has expired, retail investors will be unable to withdraw their investment.

In the scenario where a replacement offer document is issued from the company (during an Equity Crowdfunding raise on Birchal), retail investors receive a 30-day cooling off period from the day it is released. This provides retail investors an opportunity to reconsider their investment.

Sophisticated and Professional investors that invest more than AUD10k will not be entitled to the 5 day cooling off period.

How do I actually invest?

We’ve partnered with Australia’s leading equity crowdfunding platform - Birchal. You’ll need to create an account on Birchal here

to invest. We’ll send you an email with a link to access our investment page once it’s live.

We advise that you create an account with Birchal before the investment round goes live to avoid potentially missing out because you

have to sign up to the platform first.

What does pre-registration mean?

It’s a stage of our capital raise which allows you to sign up to be the first to receive updates for the campaign when we open it up to the public.

How can I pre-register?

Our Expression of Interest (EOI) campaign will go live Monday 11th March. You’ll be able to access the page through our investment page, social media pages, and the Birchal website.

Why should I consider investing?

Toxic dyes, pesticides, child labour and sweatshops should have no place in textiles today. At Bhumi, we believe every product must be made with respect for the human and environmental resources that make it possible.

Bhumi was founded to offer sustainable Bedding, Bath and Basics that are made with the greater good in mind. Our supply chain is endorsed by Fairtrade, all the cotton used is certified organic and our processes are sustainable from “seed to shelf”.

Since 2015, by choosing organic cotton over regular cotton, Bhumi has saved 60 million litres of water, avoided 294,507 km of driving emissions and powered 102 million light bulbs through energy savings, along with ZERO toxic chemicals & NO child labour.

What is Equity Crowdfunding?

Equity Crowdfunding enables a large group of individuals (‘the crowd’) to invest in early-stage businesses in return for

part-ownership of the business (equity).

Unlike platforms like Kickstarter (which gives you rewards for crowdfunding), Equity Crowdfunding gives investors part-ownership (or equity share) in a business that they help to fund. The funding helps the business to grow and reach their potential.

Who is Birchal?

Birchal Financial Services Pty Ltd is an Equity Crowdfunding Platform, (ABN 39 621 812 646) is authorised and licensed by the Australian Securities and Investments Commission (AFSL 502618). What fees does Birchal charge investors?

Birchal charges no fee for the transaction of making an investment and they do not charge any ongoing administration or management fee for your investment as a shareholder into the company.

How do I make a return on my investment?

Investors will receive shares in the company in exchange for their investment. Further down the line Bhumi may offer dividends, share buybacks or the company may be sold. If the company’s valuation has increased you could make a profit on your investment.

When investing in early-stage businesses, investors should assume that their shares are illiquid and that there is no simple way to sell shares until there is an exit event such as those described above.

Who can invest?

Anyone will be able to invest into our company and own shares from as little as $100. Restrictions may apply to investors wishing to invest more than $10,000, and documentation will be required. Please see Birchal’s guide here for more information.
